Mutual NDA
This is the mutual NDA we put in place with every client and every paid session before anything confidential is shared. It is here so you can read it before you book. We send it for signature with the company details filled in; if you would rather use your own paper, send it over and we will review it.
Between: Human Forward LTD, a company registered in England and Wales (number 17452304) of 66 Paul Street, London EC2A 4NA (Human Forward), and the company or person named in the signature block (you). Each of us is a party and together we are the parties.
Purpose: discussing, scoping and, if agreed, carrying out work together, including paid sessions, consulting, the Agentic Team, the Findability app and the community platform (the Purpose).
1. What is confidential
Confidential Information means any information, in any form, that one party (the discloser) gives or makes available to the other (the recipient) in connection with the Purpose, whether before or after this agreement is signed, that is marked confidential or that a reasonable person would treat as confidential. It includes business plans, numbers, customer and supplier information, products, pricing, methods, prompts, scoring methods, code, designs, know how, the content of any session, and the fact and content of the parties' discussions.
It does not include information that the recipient can show: is or becomes public other than through the recipient's breach; was already lawfully in the recipient's possession without a duty of confidence; is received lawfully from a third party who owes no duty of confidence; or is developed independently without use of the discloser's Confidential Information.
2. What each party agrees
The recipient will:
- Use the discloser's Confidential Information only for the Purpose
- Keep it secret, with at least the care it uses for its own confidential information and never less than reasonable care
- Disclose it only to its own officers, employees, contractors and professional advisers who need it for the Purpose and who are bound by confidentiality obligations no less strict than these (representatives), and be responsible for what they do with it
- Not copy it beyond what the Purpose needs, and keep every copy subject to this agreement
- Not reverse engineer, decompile or analyse any product, code, prompt or method it receives
- Tell the discloser promptly on learning of any unauthorised use or disclosure, and help to limit it
3. Compelled disclosure
The recipient may disclose Confidential Information where a court, regulator or law requires it, provided that, where lawful, it tells the discloser promptly, discloses only what is required, and cooperates with the discloser's efforts to limit or protect the disclosure.
4. Return and destruction
On the discloser's written request, or when the Purpose ends, the recipient will return or destroy the discloser's Confidential Information and confirm in writing that it has done so. The recipient may keep copies in routine backups until they cycle out, copies the law or a regulator requires it to keep, and one archival copy with its legal advisers for the purpose of establishing its rights, each of which stays subject to this agreement.
5. Nothing else is granted
- Confidential Information stays the discloser's property. No licence or other right is granted except the limited right to use it for the Purpose
- Confidential Information is provided as it is. The discloser gives no warranty about its accuracy or completeness, and is not liable for the recipient's reliance on it
- Nothing in this agreement obliges either party to disclose anything, to enter into any further agreement, or to continue discussions, and either party may stop at any time
- Nothing in this agreement restricts either party from using general skills, knowledge, experience and ideas retained in the unaided memory of its people, provided that no specific Confidential Information is disclosed and no intellectual property of the discloser is infringed
- Neither party will use the other's name or logo, or describe the discussions, in any publicity without written consent
6. Personal data
Where Confidential Information includes personal data, each party is an independent controller of the data it holds and will comply with data protection law. Where Human Forward processes personal data on your behalf in providing services, its Data Processing Agreement applies to that processing.
7. How long it lasts
This agreement covers Confidential Information disclosed during the two years after it is signed, or any longer period during which the parties are working together. The obligations in sections 2 to 5 last for three years from the date of each disclosure, except that trade secrets, source code, prompts and scoring methods stay confidential for as long as they remain trade secrets, and personal data stays protected for as long as the law requires.
8. Remedies
Each party acknowledges that a breach could cause harm that damages alone would not repair, and that the other party may seek an injunction or other equitable relief for a breach or threatened breach, without proof of special damage, in addition to any other remedy. The recipient will compensate the discloser for loss caused by its, or its representatives', breach of this agreement.
9. General
- This agreement is the whole agreement between the parties about confidentiality for the Purpose and replaces any earlier confidentiality terms between them on that subject. Variations must be in writing and signed by both parties
- Neither party may assign this agreement without the other's consent, except that Human Forward may assign it to a buyer of its business
- If part of this agreement is unenforceable the rest applies
- A delay in enforcing a right is not a waiver of it
- No one other than the parties may enforce this agreement, and the Contracts (Rights of Third Parties) Act 1999 does not apply
- This agreement may be signed electronically and in counterparts, and a signed copy sent by email or through an e signature service is as good as an original
- This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that either party may seek an injunction in any court with jurisdiction
